Terms of Service: Legal Agreement for Using FriendFinder

Welcome to FriendFinder. By accessing, browsing, or using the FriendFinder website, mobile application, or any associated services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"). You understand and agree that:

• We may modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.
• We do not guarantee the availability, accuracy, or completeness of any user profiles or content.
• You are solely responsible for your interactions with other users.

As a condition of your use of the Platform, you agree to comply with all applicable laws and regulations and to not engage in any prohibited conduct, including but not limited to:

All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof, are the exclusive property of FriendFinder Networks Inc., its licensors, or other providers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks: The FriendFinder name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FriendFinder or its affiliates or licensors. You must not use such marks without the prior written permission of FriendFinder.

License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use. This license does not include any resale or commercial use of the Platform or its contents.

User Content: By posting, uploading, or submitting any content to the Platform, you grant FriendFinder a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Platform and our business.

To the fullest extent permitted by applicable law, in no event shall FriendFinder, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

In no event shall our total cumulative liability to you for all claims arising out of or relating to your use of the Platform exceed the greater of one hundred dollars ($100) or the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FRIENDFINDER EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FriendFinder does not warrant that:

• The Platform will function uninterrupted, secure, or available at any particular time or location.
• Any errors or defects will be corrected.
• The Platform is free of viruses or other harmful components.
• The results of using the Platform will meet your requirements.

No advice or information, whether oral or written, obtained by you from FriendFinder or through the Platform shall create any warranty not expressly stated in these Terms.

We may, in our sole discretion and without liability, suspend or terminate your account and access to the Platform, with or without notice, for any reason, including but not limited to if we believe you have violated these Terms.

You may terminate your account at any time by contacting us or using the account deletion tools within the Platform. Upon termination, your right to use the Platform will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Platform.

Entire Agreement: These Terms constitute the entire agreement between you and FriendFinder regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
